1. Definitions
1.1 "Firm" refers to Home’s Soul Interiors, a company providing interior design services.
1.2 "Client" refers to the person, entity, or organization availing the services of the Firm.
2. Scope of Work
2.1 The Firm agrees to provide interior design services as outlined in the project proposal, including but not limited to concept development, space planning, material selection, and project management.
2.2 The scope of work will be detailed in the project proposal, and any changes or additions must be agreed upon in writing by both parties.
3. Payment Terms
3.1 The Client agrees to pay the Firm a non-refundable deposit before the commencement of the project. The deposit amount and payment schedule will be specified in the project proposal.
3.2 Progress payments may be required at specific project milestones, as outlined in the project proposal. Failure to make timely payments may result in project delays.
3.3 Final payment is due upon completion of the project and delivery of the final design or execution of the project on ground to the Client. The Client will not take possession of the design until full payment has been received.
4. Project Timeline
4.1 The Firm will provide the Client with an estimated project timeline. While the Firm will make reasonable efforts to adhere to the timeline, delays may occur due to unforeseen circumstances.
4.2 The Client agrees to provide timely feedback and approvals to ensure the project stays on schedule.
5. Changes and Revisions
5.1 The Client understands that changes to the project scope or design after the commencement of work may result in additional charges. The Firm will inform the Client of any additional costs before proceeding with the changes.
5.2 The Client has the right to request revisions to the design concept. However, excessive revisions that deviate from the original concept may result in additional charges and project delays.
6. Client’s Responsibilities
6.1 The Client agrees to provide all necessary information, approvals, and access required for the Firm to complete the project. Delays caused by the Client’s failure to provide necessary information will not be the responsibility of the Firm.
6.2 The Client is responsible for obtaining any necessary permits or approvals related to the project. The Firm will provide assistance and documentation as needed.
7. Intellectual Property
7.1 All design concepts, drawings, and other materials developed by the Firm are the intellectual property of the Firm until full payment has been received from the Client.
7.2 Upon full payment, the Client will have the right to use the final design for the intended purpose outlined in the project proposal.
7.3 On Mutual Contract Agreement, if the project is being bestowed upon us, we will use the designs for execution of the project.
8. Confidentiality
8.1 Both the Firm and the Client agree to keep all project-related information confidential, including but not limited to, design concepts, plans, and financial information.
8.2 The Firm may use project images for promotional purposes unless the Client explicitly requests otherwise in writing.
9. Termination
9.1 Either party may terminate the contract in writing if the other party breaches any material term or condition of the agreement. In the event of termination, the Client shall pay the Firm for all work completed up to the date of termination.
10. Limitation of Liability
10.1 The Firm shall not be liable for any damages, including but not limited to, incidental or consequential damages, arising out of or in connection with the services provided.
10.2 The Client agrees to indemnify and hold the Firm harmless against any claims or liabilities arising from the Client’s use of the design after project completion.
11. Governing Law and Dispute Resolution
11.1 This agreement shall be governed by and construed in accordance with the laws of Arbitration and Conciliation Act of India, 1996. Any disputes arising under or in connection with this agreement shall be resolved through arbitration in accordance with the rules of the [Arbitration Association], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
